Corporate litigation services in Romania

Our corporate litigation practice represents Romanian and foreign companies in commercial and corporate disputes before the Romanian courts and in arbitration. We handle shareholder and joint-venture disputes, breach-of-contract and debt-recovery claims, director and officer liability, unfair-competition and post-M&A disputes, and the annulment or enforcement of corporate resolutions. Each mandate begins with a realistic assessment of procedural chances and of the fastest route to a commercially useful outcome: litigation, arbitration, or a negotiated settlement.

Commercial claims are governed by the Romanian Civil Code and the Code of Civil Procedure, with a general limitation period of three years for most contractual and commercial actions (Art. 2517 Civil Code). Where the value and evidence allow, the payment-order procedure delivers an enforceable title in a matter of weeks; more complex corporate disputes proceed through the ordinary courts, up to the High Court of Cassation and Justice. Interim and precautionary measures (asset freezes, garnishment, sequestration) are often decisive, and we secure them early to protect recovery before the debtor can dissipate assets.

Cross-border disputes and foreign companies

Foreign companies can sue and be sued in the Romanian courts and must be represented by a Romanian-licensed lawyer. We act for international clients whose contracts, suppliers, or debtors are located in Romania, coordinating with in-house teams and foreign counsel and conducting proceedings in English. Jurisdiction and applicable law are typically governed by the Brussels I bis Regulation (EU 1215/2012) and the Rome I Regulation (EU 593/2008), which we assess at the outset so a claim is filed in the right forum from the start.

Enforcement is where cross-border matters are won or lost. Judgments from other EU member states are recognised and enforced in Romania without a separate exequatur procedure under Brussels I bis, and foreign arbitral awards are enforced under the New York Convention of 1958, to which Romania is a party. We enforce EU judgments and arbitral awards against Romanian assets, obtain precautionary measures to secure recovery, and represent claimants and respondents in ICC, VIAC and UNCITRAL arbitration seated in or connected to Romania.

Frequently asked questions

Litigation & Arbitration: key answers

How long does a civil lawsuit take in Romania?

A civil case in Romania typically takes 12–24 months in first instance. Complex commercial disputes or cases involving appeal and recourse can exceed 4–5 years. Pre-litigation negotiation and mediation can significantly reduce this timeframe.

What is arbitration and when is it better than going to court in Romania?

Arbitration is an alternative dispute resolution procedure before a tribunal chosen by the parties. It is preferable to court when confidentiality, speed (6–12 months vs. years), or specialized arbitrators are priorities. It is particularly common in international commercial contracts.

Can a foreign company sue or be sued in Romanian courts?

Yes. Romanian courts have jurisdiction over disputes involving foreign parties based on EU regulations and bilateral treaties. Foreign companies can initiate litigation and must be represented by a Romanian-licensed attorney. Judgments from EU courts are mutually recognized under EU law.

What corporate litigation services do you provide in Romania?

We represent Romanian and foreign companies in commercial and corporate disputes: breach-of-contract and debt-recovery claims, shareholder and joint-venture disputes, director and officer liability, post-M&A and unfair-competition disputes, and the annulment or enforcement of corporate resolutions. We act before the Romanian courts up to the High Court of Cassation and Justice, in domestic and international arbitration, and in the enforcement of judgments and arbitral awards. Most contractual and commercial claims are subject to a three-year limitation period under Art. 2517 of the Civil Code, so early assessment matters.

Can you enforce a foreign judgment or arbitral award against assets in Romania?

Yes. Judgments from other EU member states are recognised and enforced in Romania without a separate exequatur procedure under the Brussels I bis Regulation (EU 1215/2012). Foreign arbitral awards are enforced under the New York Convention of 1958, to which Romania is a party. We handle recognition and enforcement, obtain precautionary measures such as asset freezes and garnishment to secure recovery, and represent creditors against Romanian debtors throughout the process.
