Frequently asked questions
A solid commercial contract under Romanian law includes: precise identification of parties, detailed object of the agreement, price and payment terms, performance deadlines, warranty clauses, penalty clauses for delay or non-performance, termination conditions, governing law and competent court, confidentiality and force majeure clauses. Missing any of these can generate costly litigation in Romanian courts, where the contract is interpreted strictly against the drafting party in case of ambiguity.
Fees depend on contract complexity and transaction value. Standard contracts (services, sale of goods) are typically billed at a fixed fee. Complex contracts (M&A, joint ventures, cross-border deals) are billed hourly or as a percentage of transaction value. The cost of a well-drafted contract is usually a small fraction of litigation costs that can result from a poorly drafted one.
Generic templates do not account for the specifics of your business, applicable Romanian law or recent case law. They may contain null or abusive clauses, omit essential protections (penalty clauses, warranties, IP assignment) and create ambiguity around governing law. In litigation, ambiguities are typically interpreted against the party that proposed the contract.
Ad-hoc consultation addresses a specific issue and is billed per case. A legal retainer provides ongoing access to your lawyer for current questions, quick reviews and preventive advice, at a predictable monthly cost. Retainers are better suited for companies that frequently sign contracts or have recurring legal exposure (regulatory, employment, IP).
