Frequently asked questions
Minimum real estate due diligence includes: up-to-date land registry extract for authentication (issued on transaction day), 10-year ownership history, encumbrance verification (mortgages, attachments, usage rights, easements), urbanism certificate, building permit for new properties, certificate of completion, energy certificate, compliance with PUG/PUZ urban plans and absence of pending litigation. Missing any of these can lead to eviction risk or annulment.
The preliminary agreement (promisiunea bilaterală, bilateral promise to sell) is the contract by which parties commit to later concluding the authentic sale contract. For protection, it must be authenticated by a notary and registered in the Land Registry (notation). Registration blocks sale to third parties and entitles the buyer to obtain a court judgment substituting for the authentic contract if the seller refuses. A simple advance payment without authentication offers much weaker protection.
Common actions include: revendication action (recognition of ownership over property held by another), boundary action (establishing the boundary between neighboring properties), possession action (protecting possession even without title), action for rectification of land registry entries (correcting erroneous entries). Strategy depends on available titles, duration of possession and technical evidence (topographic expertise).
At transaction: notary fee (percentage, regressive based on value), OCPI registration fee (0.15% of value, capped), VAT (5% for residential under 600,000 RON for individuals, 19% for new property from developer in other cases), property transfer tax for the seller if ownership is under 3 years. Annually: building and land tax to the local municipality. Proper tax structuring can generate significant savings.
